Bylaws of the Kansai Stanford Club

 

Chapter 1. General

(Name of the Club)
Article 1. The name of the club shall be “Kansai Stanford Club”abbreviated“KSC.”

(Office of KSC)
Article 2. KSC’s office is located in the Stanford Japan Center, Meitokukan 2F, Doshisha University, Karasuma Higashi-iru, Imadegawa, Kamigyo-ku, Kyoto 602-8580 Japan. (Note: address changed August 2006)

(Purpose of the Club)
Article 3. The purpose of KSC is to promote friendship among Stanford alumni, students, research fellows, visiting scholars, faculty, and staff, including their families, who now live or previously lived in the Kansai area.

(Activities of the Club)
Article 4. In order to realize the purpose of Article 3, KSC will organize, prepare and carry out the following such activities:
(1) welcome parties for Stanford students coming to the Stanford Japan Center in the BOSP program,
(2) lectures, meetings, and/or symposia,
(3) cooperation and coordination with related associations such as the Japan Stanford Association and the Stanford Japan Center,
(4) other activities considered to fulfill the purposes of KSC.

 

Chapter 2 Members

(Type of Members)
Article 5. There are two types of members in KSC:
(1) Individual Members
Stanford alumni, students, research fellows, visiting scholars, faculty, staff, and their families, who approve and support the purpose of KSC;
(2) Honorary Members
individuals or a companies who have contributed substantially to the the purposes of KSC.

(Rights and Responsibilities)
Article 6. The rights and responsibilities of the KSC members are as follows:
(1) Members can participate in the activities of KSC.
(2) Members must abide by the bylaws of KSC and decisions of the Board of Directors.

 

Chapter 3. Officers and Advisers

(Directors)
Article 7. KSC has the following directors:
(1) not more than 20 directors including one president.
(2) Directors shall be nominated for the Board of Directors through the recommendation of KSC members. In case the candidates exceed 20, the directors shall be elected in the order of the number of recommendations.
(3) The term of each director is five years unless a director resigns before the term end. Reappointment is allowed.


(Nomination of President)
Article 8. The President shall be nominated from among the directors and elected by the Board of Directors.

(Term of President)
Article 9. The term of the president is two years; only one reappointment shall be allowed.
(Duties of Directors)
Article 10. The president represents and supervises the club. The directors assist the president and execute club activities.

(Adviser)
Article 11. The club can nominate Consultant(s).
(1) The president may share thoughts with consultant(s) after referral by the Board of Directors.
(2) When requested, the consultant(s) shall advise the president on any important issue of the club.

 

Chapter 4. Meetings

(Board of Directors)
Article 12. The Board of Directors shall be organized by the directors, who decide on items in these bylaws, as well as other business considered important to execute club activities.
(1) The Board of Directors nominates two Chief Secretaries (CS) each year to lead the club activities of the year.
(2) The Chief Secretaries shall call the meetings, regular and special, of the Board of Directors, and shall be the chairpersons of the meetings.
(3) Regular board meetings shall be called within three months after the end of each year (namely, by the end of March).
(4) Special board meetings shall be called when the president deems necessary.
(5) The Board of Directors shall reach a quorum with more than half of all directors, and decisions shall be made on the majority vote of the attending directors. In case of a tie vote, the president shall make the decision.
(6) In an emergency, the Board of Directors can decide an issue if more than two-thirds agree even if the issues are not made available before the meeting.


Article 13. The Chief Secretaries each year must submit the following documents to the Board of Directors:
(1) activity report and balance sheet of the last year.
(2) activity plan and budget of the coming year.

 

Chapter 5. Activity

(Term of Activity)
Article 14. KSC’s term of activity begins on January 1st and ends on December 31st.

(Expenses)
Article 15. The expenses necessary to support an activity shall be paid by the participating members in that activity and from the accumulated surplus from past activities.

 

Chapter 6. Revision of the rules and Dissolution of the club.

(Revision of the Bylaws)
Article 16. Revision of the bylaws shall be made by decision of the Board of Directors.

(Dissolution of the Club)
Article 17. Dissolution of the club shall be made by the decision of a simple majority of the Board of Directors.

1. These bylaws were put into effect on September 1st 2004.

KSC   (Kansai Stanford Club)

Members of the Kansai Stanford Club (KSC) shall be alumni, students and their parents, people who are or were research associates, and visiting scholars or teachers of Stanford University, who are or formerly were living in the Kansai area (roughly from Aichi Prefecture to Hyogo Prefecture). The Kansai Stanford Club is listed on the home page of the Stanford Alumni Association (SAA) as a regional club in Asia/Japan.
